These Terms & Conditions (“Terms”) govern your access to and use of the Praxiline website and the purchase of products offered through it.

Praxiline is operated by Proko Design Products LLC (“Praxiline,” “we,” “us,” or “our”).

By accessing our website, placing an order, or purchasing a product from us, you agree to these Terms and to any other policies referenced below.

If you do not agree with these Terms, please do not use the website or place an order.

Our Policies

These Terms should be read together with our:

  • Return & Refund Policy

  • Privacy Policy
  • any product-specific warranty expressly provided by Praxiline, if applicable
  • Product-specific instructions, disclosures, warnings, or limitations

Those policies form part of the terms applicable to your purchase.

If a particular product contains additional terms, instructions, limitations, or disclosures on its product page or packaging, those product-specific provisions also apply.

Website Use

You may use this website only for lawful purposes.

You may not use the website to:

  • engage in fraudulent activity;
  • interfere with the operation or security of the website;
  • attempt to gain unauthorized access to our systems;
  • misuse our intellectual property;
  • submit false or misleading information;
  • place fraudulent or abusive orders; or
  • use automated systems to improperly access, scrape, copy, or interfere with the website.

We may restrict or terminate access to the website when we reasonably believe it is being misused.

Product Information

We make reasonable efforts to accurately describe and display our products.

However, photographs, illustrations, colors, dimensions, specifications, packaging, and other product information may vary slightly from the physical product.

Minor variations resulting from manufacturing, materials, production methods, displays, photography, or normal tolerances do not necessarily constitute a product defect.

Where dimensions or specifications are important to your intended use, you are responsible for reviewing the applicable product information before purchasing.

Product-Specific Terms and Intended Use

Certain Praxiline products may be designed for specialized, professional, educational, drafting, organizational, technical, or other purposes.

Product-specific instructions, intended uses, limitations, tolerances, warnings, and disclaimers may appear on the applicable product page, packaging, instructions, or accompanying materials.

You are responsible for reviewing and following those instructions before using the product.

Unless expressly stated otherwise, Praxiline products are not represented as calibrated measuring instruments, certification tools, or substitutes for professional judgment.

Products intended to assist with drafting, design, engineering, architecture, construction, or other professional activities are tools intended to assist the user. They do not independently verify the accuracy, adequacy, safety, code compliance, or suitability of any drawing, design, calculation, specification, or professional decision.

Users remain responsible for independently verifying their work and complying with applicable professional standards, laws, regulations, codes, and project requirements.

Orders

Submitting an order does not automatically mean that we have accepted it.

An order is accepted when we send an express order-acceptance or shipment confirmation, or when we transfer the ordered merchandise to the shipping carrier, whichever occurs first. An automated order-receipt email only confirms that we received the order and does not by itself constitute acceptance.

We reserve the right to accept, decline, limit, or cancel an order before fulfillment where reasonably necessary, including in cases involving:

  • suspected fraud;
  • payment problems;
  • incorrect pricing;
  • incorrect product information;
  • inventory shortages;
  • suspected unauthorized resale;
  • unusually large quantities;
  • shipping restrictions;
  • duplicate orders;
  • technical errors; or
  • other circumstances that prevent us from reasonably fulfilling the order.

If we cancel an order after payment has been collected and no merchandise is shipped, the amount owed for the cancelled order will be refunded to the applicable payment method.

Pricing and Errors

Prices are displayed in U.S. dollars unless otherwise indicated.

Applicable taxes, shipping charges, or other fees may be added during checkout.

We attempt to keep our product descriptions, pricing, promotions, availability, and other information accurate.

Occasionally, however, information may contain typographical, technical, pricing, or other errors.

If we discover a material error affecting an order before fulfillment, we may cancel the affected order and issue an appropriate refund rather than fulfill the order based on an obvious or unintended error.

Payment

You represent that you are authorized to use the payment method provided with your order.

Orders may be subject to authorization, fraud screening, or verification by us or our payment-service providers.

We do not guarantee that every payment attempt will be accepted.

Order Changes and Cancellations

If you need to change or cancel an order, contact us as soon as possible.

We will make reasonable efforts to accommodate the request, but an order cannot always be changed or cancelled once processing, production, packaging, or shipment has begun.

Shipping and Delivery

Shipping methods, processing times, estimated delivery periods, address requirements, lost-package procedures, and other delivery terms are described in our Shipping Policy.

Shipping and delivery estimates are estimates unless expressly stated otherwise.

Customers are responsible for providing a complete and accurate shipping address.

Returns, Refunds and Exchanges

Returns, refunds, exchanges, replacements, refund adjustments or deductions, return-shipping responsibilities, proof-of-purchase requirements, and eligibility requirements are governed by our Return & Refund Policy.

Submitting a return request does not automatically guarantee that a refund will be issued.

Returned products may be inspected to determine whether they satisfy the applicable return requirements.

Nothing in these Terms limits rights that cannot lawfully be limited under applicable law.

Defective Products

If you believe a product has a manufacturing defect, contact us in accordance with our Return & Refund Policy or any product-specific warranty expressly provided by Praxiline, if applicable.

We may request reasonable information necessary to evaluate a claim, such as:

  • proof of purchase;
  • order information;
  • photographs or video;
  • the product or packaging;
  • batch, serial, or identifying information; and
  • a description of the issue.

Normal wear, cosmetic variation, misuse, improper storage, unauthorized modification, accidental damage, or damage caused after delivery may not qualify as manufacturing defects.

Purchases From Third-Party Retailers

If you purchased a Praxiline product from an independent retailer, reseller, distributor, marketplace seller, or other third party rather than directly from Praxiline, your purchase may be subject to that seller's return and refund policies.

Unless otherwise stated in an applicable Praxiline warranty, requests for refunds on third-party purchases should generally be directed to the original seller.

We may request proof showing where and when the product was originally purchased before processing a warranty or support request.

Resale

Products purchased through our consumer website are intended primarily for end users unless we expressly approve a different arrangement.

Purchasing products for commercial resale, redistribution, or wholesale purposes may require separate written approval or wholesale terms.

We may limit quantities, reject orders, or cancel orders where we reasonably believe products are being purchased for unauthorized commercial resale.

Authorized wholesale or reseller purchases may be governed by separate terms and may have different return, pricing, warranty, and support conditions.

Intellectual Property

The Praxiline name, branding, product designs, graphics, photographs, text, product documentation, website content, logos, illustrations, and other materials made available through our website may be protected by trademark, copyright, patent, trade-dress, or other intellectual-property rights.

Purchasing a product does not transfer ownership of those intellectual-property rights.

Except as allowed by law or with our written permission, you may not reproduce, copy, manufacture, commercially distribute, or create unauthorized commercial reproductions of protected Praxiline materials or product designs.

Reviews and Other Content

If you submit a review, photograph, testimonial, comment, suggestion, or other content to us, you represent that you have the right to submit it and that the content is not fraudulent, unlawful, defamatory, or infringing.

We may remove or decline to display content that violates these Terms or applicable law.

Any additional rights relating to use of submitted photographs, testimonials, or marketing content will be governed by any permissions provided when the content is submitted.

Website Availability

We do not guarantee that the website will operate continuously or without interruption.

We may modify, suspend, update, or discontinue portions of the website, products, features, or services where reasonably necessary.

Product availability may change without notice.

Third-Party Services

Our website may use or link to third-party services, including payment processors, shipping providers, analytics providers, social-media platforms, or other services.

Those third parties may operate under their own terms and privacy practices.

We are not responsible for third-party websites or services that we do not control, except to the extent required by applicable law.

Disclaimer

To the fullest extent permitted by applicable law, products and website services are provided subject to the warranties and obligations expressly stated by Praxiline and any rights that cannot legally be excluded.

We do not warrant that every product will be suitable for every particular purpose, application, project, workflow, or professional use.

Customers are responsible for determining whether a product is suitable for their intended application before relying upon it.

Limitation of Liability

To the fullest extent permitted by applicable law, Praxiline and Proko Design Products LLC will not be liable for indirect, incidental, special, consequential, or similar damages arising from the use or misuse of our website or products.

This includes, where legally permissible, losses arising from reliance on a product for professional, technical, drafting, design, construction, fabrication, or engineering decisions without independent verification.

Nothing in this section excludes or limits liability that cannot legally be excluded or limited.

Indemnification

To the extent permitted by law, you agree to be responsible for losses, claims, or expenses resulting from your unlawful misuse of the website or products, your violation of these Terms, or your infringement of another person's rights.

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles, except that this choice of law does not deprive you of any mandatory consumer protections that apply based on your location and cannot lawfully be waived.

Any additional dispute-resolution or venue provisions adopted by Praxiline will be stated here or in an applicable supplemental agreement.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our products, business practices, website, policies, or applicable requirements.

The current version will be posted on this page with an updated “Last Updated” date.

Changes will apply prospectively unless otherwise required or permitted by law.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

No Waiver

If we do not immediately enforce a provision of these Terms, that does not mean we permanently waive our right to enforce it.
